In this role, you will provide substantive corporate legal advice, manage entity lifecycle events, and design, operationalise and maintain board-level governance frameworks. You'll partner closely with Finance, Government Affairs, broader Legal teams, and external counsel on a wide range of complex corporate legal and governance matters.

Responsibilities

- Advise on Irish and international corporate law matters.

- Draft, implement and maintain board‑level governance frameworks (including for emerging regulations), leading cross-functional alignment and end‑to‑end board approval processes. Coordinate director briefings and support periodic evaluations of governance roles and responsibilities.

- Oversee company secretarial compliance, including board and shareholder meetings/resolutions, corporate filings, and statutory registers, ensuring records and controls meet best practice and regulatory expectations.

- Act as a trusted legal advisor to Finance, Legal, and Government Affairs teams, advising on corporate structures and governance, and proactively anticipating regulatory and corporate compliance obligations.

- Manage external legal counsel and corporate service providers, ensuring high-quality, cost-effective legal and company secretarial support.

- Leverage AI and legal technologies to drive efficiency and innovation in corporate legal workflows and compliance processes.

Minimum Qualifications

- Bachelor of Laws (LLB) or equivalent law degree from an accredited university.

- Qualified lawyer with 8+ years of post-qualification experience (PQE) in corporate law and governance, legal entity management, and statutory compliance, ideally with expertise in Irish company law.

- Proven track record collaborating cross-functionally and across regions.

Preferred Qualifications

- In-house legal experience at a multinational technology company and/or extensive experience at a top-tier law firm’s corporate practice, focusing on Irish and international corporate law and governance matters.

- Experience leading subsidiary reorganisations and statutory audits and liaising with regulators (e.g., the Irish Companies Registration Office).

- Collaborative, curious, commercially minded and proactive, with a strong interest in technology and a demonstrated ability to thrive in a fast-paced, global environment.

- Exceptional analytical, problem-solving, and communication skills, with a demonstrated ability to translate complex legal concepts into clear, practical business guidance.
