Key Responsibilities
- Draft, review, negotiate, and manage SaaS agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), NDAs, and other IT and technology vendor contracts.
- Provide legal advice on technology procurement, IT services, digital initiatives, software licensing, cloud services, and vendor engagements.
- Advise stakeholders on data privacy, data protection, privacy assessments, and regulatory compliance.
- Provide guidance on applicable privacy and data protection regulations, including the Digital Personal Data Protection (DPDP) Act, GDPR, and other relevant laws.
- Lead contract negotiations with technology vendors, service providers, and other external partners, balancing commercial objectives with legal and business risks.
- Conduct contractual and legal risk assessments and recommend appropriate mitigation measures.
- Partner with IT, Digital, Procurement, Information Security, Finance, and business teams to understand requirements and provide commercially practical legal solutions.
- Support stakeholders in identifying and resolving contractual issues, including liability, indemnity, confidentiality, intellectual property, data protection, warranties, termination, and dispute resolution.
- Coordinate with internal and external stakeholders to ensure timely execution and closure of contracts.
- Maintain oversight of contractual obligations, risks, and compliance requirements.
- Support the development and improvement of standard contract templates, playbooks, processes, and legal guidelines for technology and IT engagements.
Required Qualifications & Experience
- 8+ years of relevant post-qualification experience (PQE) in IT/Technology Legal, Corporate Legal, Commercial Legal, or a similar role.
- Strong hands-on experience in drafting, reviewing, and negotiating SaaS agreements, MSAs, SOWs, NDAs, and technology/vendor contracts.
- Good understanding of data privacy and data protection laws, including the DPDP Act and GDPR.
- Strong knowledge of commercial and technology contracting principles.
- Excellent drafting, negotiation, analytical, and risk assessment skills.
- Strong stakeholder management and business partnering skills.
- Ability to work independently, manage multiple priorities, and operate effectively in a fast-paced business environment.
