About the The Opportunity:
This is an opportunity for an experienced project finance and infrastructure attorney to help commercialize a first-of-a-kind platform. You’ll work directly with senior leadership and commercial teams to structure, finance, and deliver complex infrastructure projects while building the commercial legal function from the ground up.
This is a hands-on role where you’ll shape how projects are structured, financed, contracted, and brought to market, with ownership of project SPVs, financing structures, EPC arrangements, procurement, technology licensing, and key commercial relationships.
For an attorney from a leading Projects & Infrastructure, Project Finance, or Infrastructure Finance practice, this is an opportunity to apply your transactional expertise to building an emerging transportation platform.
Responsibilities:
- Lead project finance and infrastructure transactions from initial commercial structuring through financing, financial close, and project implementation.
- Develop and implement preferred legal and commercial structures for Glydways' infrastructure projects, including project SPVs, financing arrangements, risk allocation, and contractual frameworks.
- Own the legal workstreams for project financings, including loan agreements, security packages, guarantees, direct agreements, intercreditor arrangements, and related financing documentation.
- Structure and negotiate key project agreements, including EPC agreements, project development agreements, concessions, operating and maintenance arrangements, supply agreements, and technology/IP licenses.
- Partner closely with the commercial, finance, supply-chain, engineering, and business-development teams to turn prospective projects into executable and financeable transactions.
- Support the company's pursuit of new projects, including RFPs, bids, commercial proposals, and negotiations with customers, government entities, developers, strategic partners, and other counterparties.
- Build the legal framework for global procurement and supply chain activities, including master services agreements, purchase orders, warehousing arrangements, and other supplier agreements.
- Help develop repeatable templates, playbooks, structures, and processes that allow the company to scale its project development and commercial activities efficiently.
- Partner with regulatory teams to identify and address legal and regulatory requirements affecting project development and commercialization.
- Manage outside counsel strategically, while personally handling substantive transactional work wherever practical to maintain speed, ownership, and cost discipline.
Must-Have Skills:
- 7+ years of experience (preferably a mix of Biglaw and in‑house).
- Expertise in project financing and implementation of complex infrastructure projects.
- Strong familiarity with commercial procurement for large‑scale infrastructure initiatives.
- Proactive drive to independently build the commercial division of a legal department.
- Willingness to handle substantive legal work to limit outside counsel fees.
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in good standing in the United States.
Nice-to-Have Skills:
- Experience in Projects/Infrastructure practice.
- Background working on projects in the Middle East or APAC regions.
- Start‑up experience, particularly in high‑growth technology ventures.
- Experience with IP licensing structures and technology‑related legal issues.
