Position Overview:
The Corporate Paralegal provides legal, analytical, administrative, and organizational support to the legal department, with a primary focus on public company governance, securities law compliance, corporate records, and related corporate matters. The role works closely with attorneys, senior management, internal business partners, directors, and outside service providers. The Corporate Paralegal must be able to maintain strict confidentiality, work independently, manage competing priorities, and deliver accurate, timely work
Primary Responsibilities:
Public Company and Securities Support
- Assist with the preparation, review, filing, and maintenance of company filings and reports, proxy materials, and other filings required under applicable federal securities laws.
- Support Section 16 compliance, including maintaining director and officer information; coordinating questionnaires, powers of attorney, and trading information; and assisting with the timely preparation and filing of Forms 3, 4, and 5.
- Maintain and manage the legal department's corporate governance and securities compliance calendar, including SEC filing deadlines, annual meeting timelines, Board and committee meetings, Section 16 reporting deadlines, stock exchange requirements, and other recurring compliance obligations.
- Assist with compliance with applicable NASDAQ listing standards and related corporate governance and disclosure requirements.
- Assist with disclosure controls and procedures by coordinating information requests, certifications, and supporting documentation across departments.
- Support legal department activities relating to Sarbanes-Oxley Act compliance, including maintaining documentation supporting internal controls, certifications, testing, audits, and related compliance initiatives.
- Coordinate with outside counsel, auditors, transfer agents, filing agents, equity administration providers, and other external service providers on public company matters.
- Assist with insider trading policy administration, pre-clearance records, trading windows, and Rule 10b5-1 plan documentation; and administration of equity compensation matters.
Corporate Governance and Entity Management
- Provide support for meetings of the Board and its committees, including preparation and distribution of agendas and materials, maintenance of meeting records, and assistance with drafting minutes, consents, resolutions, and related documentation.
- Assist with, and use, board portal technology, including uploading materials, maintaining permissions, managing director access, and supporting Board and committee meetings.
- Maintain minute books, corporate records, governance policies, committee charters, director and officer questionnaires, and other key records in an organized and accessible manner.
- Assist with annual meeting preparation and logistics.
Department Operations and Administrative Support
- Perform administrative tasks for the legal department, including processing and tracking legal invoices and billing matters, maintaining electronic and physical files, scanning and filing documents, preparing correspondence and packages, and handling mailing and delivery of legal materials.
- Maintain legal department calendars, contact lists, templates, trackers, databases, subscriptions, and document repositories.
- Provide scheduling, meeting, presentation, and general organizational support to members of the legal department as needed.
Additional Legal Support
- Draft, review, proofread, format, and organize agreements, policies, correspondence, presentations, and other legal documents under attorney supervision.
- Assist with other legal matters as needed across the department, which may include commercial contracts, real estate, litigation, employment, intellectual property, or special projects.
- Work collaboratively with cross-functional teams and respond professionally and promptly to internal and external requests.
- Complete additional responsibilities or special projects as assigned
Qualifications:
- Minimum of five years of paralegal experience, including meaningful experience supporting a U.S. public company internally or as part of an outside counsel team for public company clients.
- Bachelor’s degree and/or paralegal certificate preferred; an equivalent combination of education and relevant experience will be considered.
- Working knowledge of SEC reporting and filing processes, Section 16 reporting, public company governance practices, and board and committee support.
- Experience with SEC filing software, board portal platforms, entity-management systems, matter-management or e-billing systems, and document repositories preferred.
- High degree of organization, accuracy, attention to detail, discretion, and commitment to confidentiality.
- Ability to self-start, work independently with appropriate attorney oversight, anticipate needs, and follow assignments through completion.
- Ability to manage multiple priorities and deadlines while consistently producing high-quality work.
- Strong written and verbal communication skills and the ability to interact professionally with directors, executives, employees, outside counsel, and vendors.
- Proficiency in Microsoft applications, including Microsoft Word, Excel, PowerPoint, Outlook, Teams, and SharePoint, with strong document drafting, editing, proofreading, and formatting skills.
- Willingness and aptitude to learn new systems, processes, and substantive legal areas as needed.

- Ability to sit at a desk to work on a computer for an extended period of time.
- Ability to see, hear, and speak regularly.
- Ability to grip, reach, and pinch with arms and hands frequently.
- Ability to bend and twist occasionally.
