G MASS are seeking a Legal Entity Management specialist to support a buy-side client engagement covering the full lifecycle of complex legal entities including SPVs, trusts and funds, from formation through amendment to dissolution.
The primary focus of this role is legal entity lifecycle management, spanning formations, amendments and dissolutions, working directly alongside the client's paralegal team at every stage. A significant part of the role is platform and systems based: the successful candidate will be responsible for entering and maintaining entity data across the client's core systems, ensuring accuracy and completeness throughout.
A strong background in legal entity management or fund operations is essential; familiarity with legal entity documentation and paralegal processes is beneficial and will be an advantage. Experience working within workflow platforms such as Appian is a strong plus given how heavily the client relies on this tool, though candidates with strong platform aptitude more broadly will also be considered.
Responsibilities:
- Manage the full lifecycle of legal entities including SPVs, trusts and funds, covering formations, amendments and dissolutions, working directly alongside the client's paralegal team.
- Maintain and update entity information within the client's core platforms, ensuring all data entered is accurate, complete and kept current throughout each entity's lifecycle.
- Apply legal entity or fund operations knowledge to review and interpret constitutional, financial and entity-related documentation, supporting formation, amendment and closure actions across jurisdictions.
- Coordinate across internal teams and external stakeholders to confirm there are no open litigation matters, outstanding obligations or operational blockers preventing entity actions from proceeding.
- Manage multiple client deliverables simultaneously, maintaining project trackers, leading client status meetings and proactively escalating challenges or risks to timeline.
- Build and maintain strong working relationships with cross-functional teams, third-party vendors and client stakeholders, fostering confidence through consistent communication and delivery.
- Design and implement enhanced workflows where processes require amendment, drawing on legal entity management experience and adapting to evolving client requirements throughout the project lifecycle.
Requirements
- Demonstrable exposure to complex legal entity structures, such as SPVs, trusts, closed-end funds or similar, is essential.
- A strong understanding of legal entity lifecycle management, including entity formation, amendment, maintenance and closure processes.
- Minimum 2+ years in a legal entity management, fund operations, fund administration or compliance-adjacent role; experience across formations and amendments as well as dissolutions is a strong advantage.
- Comfortable working within workflow or case management platforms; experience with Appian specifically is a strong plus given the client's heavy reliance on the tool.
- Familiarity with legal entity documentation and paralegal processes is beneficial; candidates who have worked closely with legal teams on entity lifecycle matters will be well-suited to this role.
- Strong attention to detail, analytical ability and organisational skills, particularly around data accuracy in systems.
- Clear communicator, comfortable presenting to clients and senior stakeholders.
- Able to manage competing priorities under pressure, independently and collaboratively.
- Proficient in Microsoft Office Suite; advanced Excel preferred.
