Deel's Global Corporate team maintains the integrity of Deel's global entity portfolio across over 350 subsidiaries in over 125 jurisdictions.
We're looking for a corporate governance specialist or paralegal based in the U.S. who brings strong, hands-on expertise in U.S. entity management and is equally comfortable stepping into unfamiliar jurisdictions, new projects, and fast-turnaround research.
This role isn't steady-state maintenance of a single region. It's built for someone who can anchor the team's U.S. entity work while flexing into whatever the Estate Team's shifting priorities require — a new jurisdiction to learn, a mapping project to drive, or a compliance question that needs an answer by end of day.
Key Responsibilities
- Support the management of Deel’s U.S. entities and manage service providers in connection with the following: formations, dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, and officer or director changes across Deel's U.S. entities.
- Contribute to corporate projects in multiple jurisdictions by researching local entity requirements, filing processes, and compliance obligations, and turn findings into clear, usable guidance for the team.
- Manage the board portal and assist with board materials, communications, and questionnaires.
- Support potential SEC regulatory filings and compliance with corporate and securities requirements.
- Maintain accurate, audit-ready corporate records and organizational charts for U.S. entities, and support equivalent recordkeeping in other jurisdictions as needed.
- Update and maintain the relevant databases of corporate information.
- Partner with Finance, Tax, HR, and service providers on entity-related needs as they arise.
- Collaborate with the wider Corporate team on international maintenance activities, contributing U.S. expertise and picking up practices from other jurisdictions.
- Identify opportunities to improve entity management processes, documentation standards, and operational efficiency within the Corporate team.
- Reprioritize and adapt quickly as new projects, jurisdictions, or urgent requests emerge.
Requirements
- 7+ years of experience in US corporate governance, entity management, or related corporate legal operations.
- Strong working knowledge and a proven track record managing numerous U.S. entities and their formation, qualification, and annual report compliance across all states.
- Demonstrated ability to research unfamiliar legal and regulatory frameworks independently and translate findings into action.
- Experience using AI tools to accelerate research, drafting, and document production across entity management and governance work.
- Comfort working across multiple jurisdictions and adapting to varying legal frameworks, terminology, and pace.
- Strong organizational skills and the ability to manage several concurrent projects under minimal supervision
- Proficiency with Google Workspace and Slack; experience with Jira / Workbench is a plus.
- Prior experience in-house at a publicly listed company (preferred but not required)
- Excellent written and verbal communication skills.

- Our salary range reflects gross base salary. For commercial roles with commission eligibility, this figure represents On-Target Earnings (OTE), inclusive of base salary and target commission.

- Final pay is based on objective, job-related criteria including experience, skills, and location.
