About the Opportunity
micro1 is engaging experienced Transactional Attorneys to contribute to a confidential project at the intersection of law and AI. You will apply your legal expertise to help train next-generation AI systems using high-quality, real-world legal input.
The work draws directly from day-to-day commercial contracting practice, including reviewing agreements, redlining drafts, interpreting company policies, and applying negotiation positions in the way experienced in-house counsel would. No prior AI experience is required—your legal domain expertise and practical contracting judgment are what matter.
Responsibilities
- Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar contracts, in accordance with established playbooks and company policies.
- Analyze contract drafts to identify key legal and commercial issues.
- Determine applicable company positions, acceptable fallback positions, and appropriate negotiation outcomes.
- Apply advanced knowledge of contract drafting, contract negotiation, and technology transactions to real-world legal documents.
- Draft clear, reasoned written explanations explaining the rationale behind redlines, revisions, and recommended positions.
- Evaluate commonly negotiated commercial provisions and determine appropriate contractual language.
- Collaborate with the project team to maintain consistency in legal standards, interpretations, and review practices.
- Maintain meticulous attention to detail and high standards of legal writing and contract review quality.
- Work independently within a remote, deadline-driven project environment.
- Apply sound legal judgment when reviewing and interpreting complex commercial agreements.
Required Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active bar admission in a U.S. jurisdiction.
- Minimum 4 years of transactional legal experience at a law firm or as an in-house attorney.
- Strong experience with contract drafting, contract review, and contract negotiation.
- Deep familiarity with commonly negotiated commercial provisions, including:
- Limitation of liability
- Indemnification
- Confidentiality
- Data protection
- Proven ability to analyze complex legal concepts and provide clear, actionable written reasoning.
- Strong judgment and a high level of accuracy in contract review and interpretation.
- Strong legal writing and analytical skills.
- Ability to work independently and consistently apply established legal standards and policies.
Preferred Qualifications
- Expertise or substantial experience in technology transactions.
- Experience handling commercial agreements for technology companies or technology-enabled businesses.
- Experience applying contract playbooks, negotiation guidelines, or company-specific legal policies.
- Strong understanding of commercial contracting practices from an in-house counsel perspective.
- Ability to identify nuanced contractual risks and recommend practical fallback positions.
- Adaptability and willingness to contribute to an innovative, confidential legal and AI project.
- Experience providing structured written analysis or feedback on legal documents.

Eligibility
